Donate Life NW Confidentiality Agreement

It is the policy of Donate Life Northwest that the board of directors, employees, volunteers, and contractors of Donate Life Northwest may not disclose, divulge, or make accessible Confidential Information to any person, including relatives, friends, and business and professional associates, other than to persons who have a legitimate need for such information and to whom Donate Life Northwest has authorized disclosure.

“Confidential Information” includes, but is not limited to, organization account passwords, manuals, individual donor information, contributor and vendor lists, contributor personal information, budgetary information, DLNW financial data, marketing, and fundraising strategies or plans, proprietary processes, technical or operational information, databases, cost data, writings about methods, techniques, or processes of Donate Life Northwest, technology, and any confidential or proprietary information or trade secrets given to Donate Life Northwest by clients, sponsors, donors, volunteers, and partners or service providers. Confidential Information also includes Donate Life Northwest’s intellectual property and information that is not otherwise public. Intellectual property includes, but is not limited to, trade secrets, ideas, discoveries, writings, creative works, websites, trademarks, and inventions developed through the course of your employment with Donate Life Northwest and as a direct result of your job responsibilities with Donate Life Northwest. Wages and other conditions of employment are not considered to be Confidential Information.

Board members and employees shall use such Confidential Information solely for the purpose of performing services as a board member or employee for Donate Life Northwest. This policy is not intended to prevent disclosure where disclosure is required by law or to limit the rights of employees to discuss their wages, hours, and working conditions.

Members of the board, employees, volunteers, and contractors must exercise good judgment and care at all times to avoid unauthorized or improper disclosures of Confidential Information. Conversations in public places, such as restaurants, elevators, and public transportation, should be handled delicately in regards to any Confidential Information. In addition, directors and employees should be sensitive to the risk of inadvertent disclosure and should, for example, refrain from leaving Confidential Information on desks or otherwise in plain view and refrain from the use of speakerphones to discuss Confidential Information if the conversation could be heard by unauthorized persons.

At the end of a board members term or upon the termination of an employee's, volunteer's or contractor's relationship with Donate Life Northwest, they shall return, shred or delete all documents, papers, and other materials, regardless of medium, which may contain or be derived from Confidential Information, in their possession. This includes, without limitation, information on contributors, registered organ donors, or other associates of Donate Life Northwest, correspondence, records, processes, methods, and correspondence lists, all of which are to remain the exclusive property of Donate Life Northwest.
